Terms of Service | SAPBENCH

1. Operating Entity & Platform Scope

These Terms of Service ("Terms") constitute a legally binding agreement between you and SAPBENCH OÜ ("SAPBENCH", "we", "us"), a company registered in Tallinn, Estonia. SAPBENCH operates an independent two-sided marketplace designed exclusively for professional SAP consulting, development, architecture, and enterprise software engineering engagements.

2. User Roles & Account Eligibility

Users interact on SAPBENCH either as Clients (companies or representatives commissioning SAP services) or Freelancers / Service Providers (independent consultants, developers, or agencies delivering SAP services). Users must be at least 18 years old and capable of forming legally binding enterprise contracts.

3. Escrow & Milestone Funding

To safeguard both parties, SAPBENCH utilizes a double-entry escrow ledger architecture. Clients fund milestones prior to work commencement. Funds are held securely in platform escrow until the Client reviews and approves the submitted deliverable, or until an administrative dispute arbitration resolves the milestone.

4. Fee Model & Pricing Transparency

Platform service fees are governed strictly by our published fee structure:

Freelancer Fee: 10% on earnings per client, reducing to 5% after €10,000 in lifetime billings with that client.
Client Processing Fee: 3% on funded milestone payments (minimum €1.00).
Disputed Funds: Service fees are calculated exclusively on released shares.

5. Intellectual Property Rights

Upon full release of milestone funds from escrow to the Freelancer, all proprietary rights, copyright, and title to the work product deliverables transfer in full to the Client, free and clear of liens, unless expressly agreed otherwise in writing.

6. Non-Circumvention

Clients and Freelancers agree to conduct all contracting, communication, deliverable submissions, and payments for relationships initiated on SAPBENCH exclusively through the platform for a minimum period of 24 months from first contact.

7. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of Estonia (EU). Any unresolved disputes shall be submitted to the competent courts of Tallinn, Estonia.
